Please read these Terms of Service carefully before using Umartco. These terms constitute a legally binding agreement between you and Umartco regarding your use of umartco.com — Bangladesh's multi-vendor online marketplace — including browsing, purchasing, guest checkout, and account services.
1. Acceptance of Terms
By accessing or using Umartco (umartco.com), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Cookie Policy, Shipping Policy, and Returns & Refunds Policy — collectively, the "Policies." If you do not agree with any part of these Terms or Policies, you may not use our services. These Terms apply to all visitors, registered customers, and guest checkout users on the Umartco customer platform. These Terms do not govern the Umartco Seller Center (sellercenter.umartco.com), which is subject to separate merchant agreements.
2. About Umartco
Umartco is a multi-vendor online marketplace based in Bangladesh. We provide a platform that connects customers with independent merchants ("Sellers") who list, sell, and fulfill products. Umartco facilitates transactions, payments, delivery coordination, and customer support, but individual Sellers are responsible for listing accuracy, product quality, and order fulfillment unless otherwise stated on a product page. All prices on umartco.com are displayed in Bangladeshi Taka (৳).
3. Eligibility
You must be at least 18 years old to create an account, place an order, or enter into a binding purchase agreement on Umartco. By using our platform, you confirm that: • You are 18 years of age or older • You have the legal capacity to enter into binding contracts • All information you provide during registration or checkout is accurate, complete, and up to date • You will update your information promptly if it changes
4. Use of the Platform
You agree to use Umartco only for lawful purposes and in accordance with these Terms. You must not: • Violate any applicable law, regulation, or third-party rights • Submit false, misleading, or fraudulent information during registration or checkout • Attempt to gain unauthorized access to our systems, other users' accounts, or Seller dashboards • Use automated tools (bots, scrapers, crawlers) to extract data from our platform without written permission • Interfere with the proper functioning of the website, API, or checkout process • Post or submit harmful, offensive, defamatory, or fraudulent content in reviews, contact forms, or communications • Resell products purchased on Umartco in violation of Seller or brand restrictions • Circumvent security measures, rate limits, or verification requirements (including OTP checks) We reserve the right to suspend or terminate access for violations of these rules.
5. Accounts, Guest Checkout & Security
Registered accounts You may create an account using your email and password or sign in with Google. Email/password accounts require email verification via one-time passcode (OTP) before you can sign in. You are responsible for: • Maintaining the confidentiality of your account credentials • All activity that occurs under your account • Notifying us immediately at info@umartco.com if you suspect unauthorized access Guest checkout You may place orders without creating a permanent account using our guest checkout flow. Guest orders require email verification via OTP before the order is confirmed. Guest order tracking also requires email OTP verification. By using guest checkout, you agree to these Terms and our Privacy Policy for the duration of that transaction. Account security Umartco will never ask for your password or OTP codes by phone, email, or social media. We use industry-standard security measures including encrypted connections, hashed passwords, and secure authentication cookies — see our Privacy Policy for full details.
6. Orders, Pricing & Availability
Placing an order When you place an order, you make an offer to purchase the listed product(s) at the displayed price. An order is confirmed only after you receive an order confirmation email with your order number. By completing checkout (including accepting these Terms at checkout), you confirm that your order details — items, quantities, delivery address, and payment method — are correct. Pricing • All prices are shown in Bangladeshi Taka (৳) and include applicable taxes unless stated otherwise • Prices, discounts, and promotions may change without notice • Flash sale prices and limited-time offers apply only during the stated promotional period • If a pricing error is identified, we reserve the right to cancel the affected order and issue a full refund Availability & order cancellation We and our Sellers reserve the right to cancel or refuse any order if: • The product is out of stock or unavailable • Payment cannot be processed or is declined • There is a material pricing or product listing error • Delivery is not available to your address • The order appears fraudulent or violates these Terms • Required verification (such as guest checkout OTP) is not completed If your order is cancelled for any of these reasons, you will be notified and receive a full refund for any amount already paid. Order modifications You may request to cancel or modify an order within 1 hour of placing it, subject to processing status. Once an order enters fulfillment, changes may not be possible. 7. Payments
Accepted payment methods Umartco supports the following payment methods where available at checkout: • Cash on Delivery (COD) — for eligible orders and delivery areas • Credit and debit cards (Visa, Mastercard) • Mobile wallets — bKash, Nagad, Rocket • Bank transfer Payment processing By providing payment information, you confirm that you are authorized to use the selected payment method and that all details are accurate. • Card and mobile-wallet payments are processed by licensed third-party payment providers • Umartco does not store full card numbers or mobile-wallet PINs • All payment data is transmitted over encrypted (TLS) connections • Cash on Delivery orders are payable in cash to the delivery agent upon receipt Cash on Delivery limits COD may be unavailable for orders above ৳10,000 or in certain delivery areas. Available payment options are shown at checkout based on your order value and delivery address. Failed payments If payment fails or is reversed, your order may be cancelled. We will notify you and no goods will be dispatched until payment is successfully confirmed (except for confirmed COD orders).
8. Shipping & Delivery
Umartco delivers across all 64 districts of Bangladesh through logistics partners including Pathao and other courier services. Delivery options (where available at checkout): • Standard Delivery — typically 2–5 business days; ৳60 flat rate (free on orders over ৳999) • Express Delivery — next business day; ৳150 flat rate • Same-Day Delivery — within 4–6 hours in Dhaka; ৳250 flat rate Delivery times are estimates, not guarantees. Delays may occur due to weather, logistics partner capacity, public holidays, or events beyond our reasonable control. Risk of loss and title for products pass to you upon delivery to the address you provided. You are responsible for providing an accurate, accessible delivery address and being available to receive the package. For full delivery terms, see our Shipping Policy.
9. Returns, Refunds & Cancellations
Returns and refunds are governed by our Returns & Refunds Policy, which is incorporated into these Terms by reference. Key terms: • 14-day return window from delivery date for eligible items • Items must be unused and in original condition with tags and accessories • Defective, damaged, or incorrect items: contact us within 48 hours for free return pickup and full refund or replacement • Refunds are processed within 5–7 business days after we receive and inspect the returned item • Refunds are issued to the original payment method (COD orders refunded via bKash or bank transfer) Certain items are non-returnable, including perishable goods, intimate apparel, digital products, and items marked "Final Sale" or "Non-Returnable." By placing an order, you agree to the return conditions in our Returns & Refunds Policy.
10. Product Reviews & User Content
Registered customers may submit product reviews including ratings, written comments, and photos or videos. By submitting a review, you grant Umartco a non-exclusive, royalty-free license to display, reproduce, and distribute your review content on our platform and marketing materials. You agree that your reviews: • Are based on your genuine experience with the product • Do not contain false, misleading, or defamatory statements • Do not include personal information of third parties • Comply with applicable laws We reserve the right to remove reviews that violate these Terms or our content guidelines. Review media uploads are subject to file type and size restrictions. Contact form submissions and support communications must also be truthful and respectful. Spam or abusive messages may result in account restrictions.
11. Third-Party Sellers
Umartco operates as a marketplace. Products are sold by independent Sellers, not directly by Umartco (unless explicitly stated). Seller responsibilities: • Accurate product descriptions, images, and pricing • Order fulfillment and packaging quality • Compliance with applicable product safety and labeling laws Umartco responsibilities: • Screening Sellers before they join the platform • Providing a secure checkout and payment experience • Facilitating delivery through logistics partners • Mediating customer disputes and enforcing platform policies If you have an issue with a product or Seller, contact our support team at info@umartco.com first. We will investigate and work toward a fair resolution, which may include refund, replacement, or Seller account action. Umartco is not the manufacturer of third-party products and does not warrant product performance beyond what is stated in our buyer protection policies.
12. Intellectual Property
All Umartco platform content — including the Umartco name, logo, website design, software, text, graphics, and compiled product listings — is owned by Umartco or its licensors and protected by applicable intellectual property laws. You may not: • Copy, reproduce, or distribute Umartco content without written permission • Use the Umartco name or logo in a way that implies endorsement or affiliation • Reverse-engineer, decompile, or attempt to extract source code from our platform • Remove copyright, trademark, or proprietary notices from any content Product images and descriptions belong to their respective Sellers or brand owners. Unauthorized use of third-party intellectual property is prohibited.
13. Privacy & Data Protection
Your use of Umartco is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, share, and protect your personal information. By using our platform, you consent to the data practices described in those policies, including: • Sharing order and delivery details with Sellers and logistics partners to fulfill your purchase • Using cookies and analytics to operate and improve the website • Processing payments through third-party providers We maintain comprehensive security safeguards for your account and data. 14. Disclaimers
Umartco provides the platform and services on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that: • The website will be uninterrupted, error-free, or free of viruses • Product descriptions, images, or reviews are complete, accurate, or current • Every product will meet your specific expectations • Delivery will occur within estimated timeframes in all circumstances Nothing in these Terms excludes or limits warranties that cannot be excluded under applicable Bangladeshi law.
15. Limitation of Liability
To the maximum extent permitted by the laws of Bangladesh, Umartco and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of revenue, data, profits, or goodwill. Our total liability for any claim arising from a specific order shall not exceed the amount you paid for that order. These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions; in such cases, our liability is limited to the maximum extent permitted by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Umartco, its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: • Your violation of these Terms or any applicable law • Your use of the platform, including content you submit • Your infringement of any third-party rights • Any dispute between you and a Seller, to the extent caused by your actions
17. Modifications to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make material changes, we will: • Update the "Last updated" date at the top of this page • Notify registered users by email where appropriate • Display a notice on umartco.com for significant changes Your continued use of Umartco after changes take effect constitutes acceptance of the updated Terms. If you do not agree with updated Terms, you should stop using the platform and contact us regarding any active orders.
18. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Umartco shall first be attempted to be resolved through good-faith negotiation by contacting info@umartco.com. If a dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
